These Terms of Use (“Terms”) govern your access to and use of the inFORM Metrics platform, website, applications, dashboards, reports, artificial intelligence-assisted insights, computer vision analysis tools, player assessment modules, and related services (collectively, the “Services”).

By accessing or using the Services, creating an account, uploading information, purchasing a subscription, or participating in assessments through the platform, you agree to these Terms.

If you do not agree, do not use the Services.


1. Nature of the Services

inFORM Metrics is a sports development and coaching support platform designed to assist coaches, clubs, organizations, parents, guardians, and players with player development workflows and assessment-related insights.

The Services may include:

  • technical assessments;
  • tactical assessments;
  • physical performance tracking;
  • mindset and mental-performance reflections;
  • coach feedback tools;
  • AI-generated insights and summaries;
  • video upload and analysis;
  • computer vision-assisted scoring;
  • development dashboards;
  • benchmark comparisons; and
  • communication and reporting tools.

The Services are informational and developmental tools only.

The Services do not replace:

  • professional coaching judgment;
  • medical advice;
  • psychological advice;
  • mental health treatment;
  • physiotherapy or rehabilitation guidance;
  • safeguarding obligations; or
  • emergency response obligations.

2. Eligibility and Authority

You may use the Services only if you are legally permitted to do so.

If you use the Services on behalf of a club, academy, school, team, company, or other organization, you represent that you have authority to bind that organization to these Terms.

If you create or manage accounts for players or minors, you represent that you have obtained all required permissions and consents.

3. Use by Minors

The Services may involve information relating to minors.

Minors may only use the Services with appropriate authorization and supervision from a parent, guardian, club, school, coach, or other legally responsible adult where required by law.

Parents, guardians, clubs, schools, and organizations are responsible for obtaining all necessary permissions and consents before submitting information relating to minors.

You must not upload or process information relating to a minor unless you have the legal right to do so.

4. AI and Automated Analysis Disclaimer

The Services may use artificial intelligence, machine learning, scoring systems, computer vision, video analysis, or automated processing.

Outputs generated through the Services may be inaccurate, incomplete, delayed, biased, misleading, or unsuitable in certain situations.

Factors affecting accuracy may include:

  • poor video quality;
  • incorrect test setup;
  • environmental conditions;
  • incomplete data;
  • human error;
  • software limitations;
  • age and developmental differences; and
  • limitations inherent to AI systems.

All AI-generated insights, automated scores, recommendations, and reports must be reviewed by a qualified human before use.

Users remain fully responsible for decisions made using the Services.

5. No Medical or Psychological Advice

The Services are not medical devices, diagnostic systems, therapy tools, psychological evaluations, or mental health services.

Mindset-related outputs are intended only to support coaching conversations, self-reflection, confidence development, emotional awareness, and player development.

The Services must not be used to diagnose or treat medical, psychological, emotional, behavioural, neurological, or mental health conditions.

If a player may be experiencing injury, mental health concerns, abuse, self-harm risk, or safeguarding concerns, users must seek assistance from qualified professionals or appropriate authorities.

6. Human Review Requirement

All reports, insights, assessments, rankings, comparisons, recommendations, and AI-generated outputs are support tools only.

Coaches, clubs, parents, guardians, and administrators are responsible for:

  • reviewing outputs before use;
  • validating accuracy;
  • applying professional judgment;
  • communicating appropriately with players;
  • ensuring safeguarding compliance; and
  • making final decisions independently.

The Services must not be used as the sole basis for:

  • medical decisions;
  • mental health decisions;
  • return-to-play decisions;
  • disciplinary action;
  • scholarship or recruitment decisions;
  • player selection or deselection; or
  • other high-impact decisions.

7. Safeguarding and Responsible Use

Users must use the Services responsibly and in accordance with applicable safeguarding, privacy, anti-harassment, anti-bullying, and child protection obligations.

You must not use the Services to:

  • shame or humiliate players;
  • unlawfully monitor individuals;
  • discriminate against players;
  • upload inappropriate content;
  • bypass parental rights or consent requirements;
  • violate privacy rights;
  • harass or intimidate others; or
  • use player information in a harmful or exploitative manner.

Organizations and coaches remain responsible for player welfare and safeguarding obligations.

8. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must provide accurate information and promptly update it if it changes.

You must notify us immediately if you believe your account has been compromised.

We are not responsible for unauthorized access resulting from your failure to secure your account.

9. Acceptable Use

You agree not to:

  • violate any law or third-party rights;
  • upload unlawful or inappropriate content;
  • interfere with platform security or operation;
  • reverse engineer or scrape the Services;
  • upload malware or harmful code;
  • misuse AI outputs;
  • use the Services to train competing systems without permission;
  • upload content without proper rights or consent; or
  • misuse player information.

We may suspend or terminate accounts that violate these Terms.

10. Video Uploads and Computer Vision Features

If you upload video or images, you represent that:

  • you have the right to upload them;
  • required consents have been obtained;
  • the content complies with applicable law and policies; and
  • the content is appropriate for the intended developmental purpose.

Computer vision and video analysis outputs are estimates only and may not detect or interpret all actions accurately.

Unless expressly stated otherwise in writing, the Services are not intended for biometric identification or facial recognition.

11. Data Accuracy

You are responsible for ensuring that information submitted to the Services is accurate, complete, and lawfully obtained.

We are not responsible for errors caused by:

  • inaccurate manual input;
  • improper testing conditions;
  • incomplete data;
  • incorrect player identification;
  • misunderstood questions;
  • poor video quality; or
  • misuse of the Services.

12. Subscriptions and Payments

Certain Services may require payment.

Subscription terms, billing frequency, included features, pricing, renewal terms, and usage limits will be provided during purchase or onboarding.

Unless otherwise stated:

  • subscriptions renew automatically;
  • fees are non-refundable except where required by law; and
  • we may suspend access for failed payments or unpaid fees.

You are responsible for maintaining accurate billing information.

13. Intellectual Property

The Services, including software, designs, scoring systems, reports, workflows, branding, algorithms, interfaces, graphics, and related intellectual property, are owned by inFORM or its licensors.

Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.

You may not copy, modify, distribute, reverse engineer, sell, sublicense, or commercially exploit the Services without written permission.

14. User Content

You retain ownership of content you submit to the Services.

By submitting content, you grant inFORM a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, reproduce, and use the content as necessary to provide, secure, improve, and operate the Services.

This includes processing through cloud providers, analytics systems, AI systems, storage providers, and related service providers.

15. Privacy

Our handling of personal information is governed by our Privacy Policy.

By using the Services, you acknowledge that information may be processed in accordance with the Privacy Policy.

Organizations using the Services are responsible for obtaining required notices and consents from players, parents, guardians, coaches, and staff.

16. Third-Party Services

The Services may rely on third-party providers, including hosting providers, AI providers, payment processors, analytics tools, cloud infrastructure providers, and communication services.

We are not responsible for third-party services, outages, security incidents, or separate third-party terms.

17. Availability and Changes

We do not guarantee uninterrupted or error-free operation.

We may modify, suspend, restrict, or discontinue features or Services at any time.

Beta or pilot features may contain bugs, incomplete functionality, or unstable performance and are provided “as is.”

18. Suspension and Termination

We may suspend or terminate access to the Services if:

  • you violate these Terms;
  • required consents are missing;
  • fees remain unpaid;
  • your use creates legal, operational, safeguarding, or security risk; or
  • suspension is necessary to protect users, minors, the Services, or third parties.

You may stop using the Services at any time.

19. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.”

We disclaim all warranties, including warranties of:

  • accuracy;
  • reliability;
  • fitness for a particular purpose;
  • availability;
  • non-infringement; and
  • uninterrupted operation.

We do not guarantee:

  • player improvement;
  • selection outcomes;
  • recruitment outcomes;
  • scholarship outcomes;
  • coaching outcomes;
  • assessment accuracy; or
  • suitability for any specific organization or purpose.

20. Limitation of Liability

To the maximum extent permitted by law, inFORM and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages.

This includes loss relating to:

  • player development;
  • coaching decisions;
  • player selection;
  • emotional distress;
  • reputational harm;
  • business interruption;
  • lost revenue;
  • lost data; or
  • loss of opportunity.

To the maximum extent permitted by law, our total liability arising from the Services or these Terms will not exceed the greater of:

  • the amount paid by you to us during the twelve months preceding the claim; or
  • CAD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless inFORM and its affiliates, officers, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, and expenses arising from:

  • your use of the Services;
  • your content;
  • your violation of these Terms;
  • your violation of law;
  • failure to obtain required consents;
  • misuse involving minors;
  • safeguarding failures;
  • misuse of AI outputs; or
  • disputes involving your organization, players, parents, coaches, or users.

22. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes relating to the Services or these Terms will be resolved exclusively in the courts of Ontario, Canada, unless applicable law requires otherwise.

23. Changes to These Terms

We may update these Terms from time to time.

If material changes are made, we may provide notice through the website, platform, email, or other reasonable methods.

Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms.

24. Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription or order terms, constitute the entire agreement between you and inFORM regarding the Services.
